Grüns Event Participant Waiver and Release of Liability

In this Agreement, "Released Parties" means Grüns and its parent companies, subsidiaries and affiliates; the owners, landlords, managers and operators of the Venue; the Event's sponsors, partners, vendors, contractors and service providers; and each of their officers, directors, employees, agents, staff, volunteers, successors and assigns. "I," "me" and "my" mean the person accepting this Agreement and, where applicable, the minor named in the Minors section.
1. Voluntary participation and assumption of risk
My attendance at and participation in the Event is entirely voluntary. I understand that attending a live, in-person event involves inherent and other risks of property damage, illness, bodily injury and, in rare cases, death. These risks include, but are not limited to:
- Slips, trips and falls, including on stairs, steps, ramps, flooring, cords, cables, mats, rugs, wet or uneven surfaces, and in poorly lit areas
- Collisions with other guests, staff, displays, furniture, signage, props, installations or equipment
- Falling, tipping or moving objects, structures, fixtures or décor
- Crowding, lines, queues, pushing, and entering or exiting the Venue
- Participation in activations, games, demonstrations, photo moments or other interactive experiences
- Consumption of food, beverages, supplements or product samples, including allergic reactions, sensitivities, choking or digestive upset
- Exposure to noise, lighting effects, heat, cold, weather conditions outside the Venue, and communicable illnesses
- The acts, omissions or conduct of other attendees or third parties
- Travel to, from and around the Venue
I understand these risks cannot be fully eliminated. I knowingly and freely assume all such risks, both known and unknown, even if arising from the negligence of the Released Parties, to the fullest extent permitted by law, and I accept personal responsibility for any resulting harm.
2. Release, waiver and covenant not to sue
In exchange for being allowed to enter and participate in the Event free of charge, I, for myself and for my heirs, executors, administrators, personal representatives and assigns, release, waive, discharge and agree not to sue the Released Parties for any and all claims, demands, losses, damages, liabilities, costs and causes of action of any kind ("Claims") arising out of or related to my attendance at or participation in the Event, including Claims for personal injury, illness, death, or loss of or damage to property.
This release applies to Claims caused in whole or in part by the ordinary negligence of the Released Parties, to the fullest extent permitted by law. It does not apply to Claims caused by a Released Party's gross negligence, recklessness or intentional misconduct, or to any Claim that applicable law does not allow to be waived.
3. Indemnification
I agree to indemnify, defend and hold harmless the Released Parties from and against any Claims, including reasonable attorneys' fees and costs, brought by me or by any third party that arise from (a) my conduct at the Event, (b) my breach of this Agreement or of any Event rules, or (c) any injury, loss or damage I cause to any person or property, to the fullest extent permitted by law.
4. Health, conduct and medical treatment
I confirm that I am in suitable health to attend the Event and that I will not participate in any activity I believe is unsafe for me. I agree to:
- Follow all posted signs, Venue rules, and instructions from Grüns staff, security and Venue personnel
- Watch where I walk, use handrails where provided, and report any hazard I notice to staff
- Not attend under the influence of alcohol or drugs to a degree that impairs my judgment or balance
- Behave respectfully toward other guests and staff
Grüns and Venue staff may refuse entry to, or remove, anyone whose behavior they consider unsafe or disruptive.
If I become ill or injured, I authorize the Released Parties to obtain or provide first aid and emergency medical care on my behalf, including calling emergency services. I am responsible for any resulting medical costs. The Released Parties are not obligated to provide medical care and are not liable for any care provided in good faith.
5. Food, beverages and product samples
The Event may offer Grüns products, dietary supplement samples, food and beverages. I understand that these may contain or come into contact with common allergens, and that ingredient information is available on product packaging and from staff on request.
I am solely responsible for deciding whether to consume any item, for reviewing ingredients, and for considering my own allergies, dietary restrictions, medications, pregnancy or nursing status, and medical conditions. I will consult my healthcare provider before using supplements if I have any questions. I will not give samples to children or to anyone else without the consent of that person or their parent or guardian.
Statements about Grüns products have not been evaluated by the Food and Drug Administration. Grüns products are not intended to diagnose, treat, cure or prevent any disease.
6. Personal property
I am responsible for my personal belongings at all times. The Released Parties are not responsible for any lost, stolen or damaged property, including items left in any coat check, bag check or holding area, to the fullest extent permitted by law.
7. Photo, video and likeness release
I understand that the Event may be photographed, filmed and recorded. I grant Grüns and its affiliates the irrevocable right to capture, use, reproduce, edit and publish my name, image, likeness, voice and statements made at the Event, in any media now known or later developed, for advertising, marketing, promotional and other lawful purposes, worldwide, without compensation, review or approval.
If I do not want to be photographed or recorded, I will tell Grüns staff at check-in, and Grüns will make reasonable efforts to honor that request. I understand that I may still appear incidentally in crowd or background shots.
8. Minors and parent or guardian consent
Anyone under 18 may attend only if a parent or legal guardian accepts this Agreement on their behalf and accompanies them at all times. The parent or guardian must submit a separate registration for each minor, entering the minor's first and last name with the parent's or guardian's own name and email, and checking the acceptance box. A parent's or guardian's own registration does not cover any minor, and one registration covers only one minor.
By accepting for a minor, the parent or guardian:
- Confirms they are the minor's parent or legal guardian and have legal authority to act for the minor
- Agrees to every term of this Agreement on their own behalf and on the minor's behalf, including the assumption of risk, release, medical treatment consent and photo/video release
- Assumes, on their own behalf and the minor's, all risks of the minor's attendance described in Section 1
- Releases the Released Parties from any Claims they may have, personally or as the minor's parent or guardian, arising from the minor's attendance, including claims for the minor's medical expenses
- Agrees to supervise the minor throughout the Event, including any activities and any food, beverages or product samples the minor consumes
- Agrees to indemnify, defend and hold harmless the Released Parties from any Claim brought by or on behalf of the minor, including reasonable attorneys' fees and costs
These terms apply to the fullest extent permitted by law.
9. General terms
- Governing law and venue. This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in New York County, New York.
- Severability. This Agreement is intended to be as broad and inclusive as New York law permits. If any part is found invalid or unenforceable, that part will be limited to the minimum extent necessary and the rest will remain in full force.
- Entire agreement. This is the complete agreement between me and Grüns about the risks of the Event and supersedes any prior statements. It may be changed only in writing signed by Grüns.
- Duration. This Agreement applies to every day of the Event that I attend, including November 14 and November 15, 2026.
- Electronic signature. Checking the acceptance box online is my electronic signature and has the same effect as a handwritten one.
10. Electronic acceptance
Guests accept this Agreement online, before entering the Venue, by entering their name and email and checking a box. No handwritten signature, date or address is needed.
One registration covers one person. Every guest must have their own completed registration, including each plus-one, guest, family member and minor. A registration does not cover a party, group or plus-one of the person who submits it. Adults register themselves, and a parent or legal guardian submits a separate registration for each minor. Grüns may refuse entry to anyone without their own accepted registration.
By checking the acceptance box, I confirm that I have read this Agreement in full, understand it, and agree to be bound by it. I understand that I am giving up substantial legal rights, including the right to sue the Released Parties for ordinary negligence. I agree that checking the box is my electronic signature under the federal E-SIGN Act and the New York Electronic Signatures and Records Act. I am at least 18 years old, or I am the parent or legal guardian of the minor named in this registration. I understand this registration covers one person only.
